The management supervision and executive functions of PSS are clearly separated in order to define responsibility and authority better. This strengthens PSS's management, speeds up decision-making and fosters a sense of self-reliance.

Management System

MANAGEMENT SYSTEM AT THE HOLDING COMPANY

  • The core concept of corporate governance in a holding company structure is the separation of business supervision and executive functions.
  • The Board of Directors is responsible for the overall supervision of PSS.
  • The Board of Directors consists of a minimum of seven directors, including three outside (or non-executive) directors. The term of office of a director is one year. Directors will be elected by shareholders at each annual shareholders meeting of PSS Holdings Co., Ltd.
  • The Chairman of the holding company presides over the Board of Directors.
  • An Executive Committee is established to advise the Chief Executive Officer of the Holding Company on important management issues, such as management strategies and policies for PSS as a whole, strategies for maximizing PSS synergies, and on initiatives to foster PSS solidarity.

MANAGEMENT OF OPERATING COMPANIES

  • Each operating company has its own Board of Directors.
  • The term of office for Directors of operating companies is one year, the same as the holding company level.
  • The President of each operating company shall chair its Board of Directors.
